The 5-player map, one-time orders, all the 1st edition house cards (and you might hate swapping those for the 2nd edition ones, as those change how the game plays), pretty much everything from the ASOS variant, and probably something more I missed. I myself wouldn't trade complete 1st edition for 2nd edition.
As I understand it the 2nd edition incorporates the expansion packs for the first edition and I believe some of the artwork was also changed. If he hasn't got the expansions then I'd probably get them rather than the 2nd edition. Having said that, I'm not sure if the expansions for the 1st edition are still being produced.
